These Terms of Service govern the quotation, ordering, sampling, production, delivery, and after-sales relationship between XingKun and its customers. By placing an order with XingKun, you agree to these Terms unless a separate written contract signed by both parties states otherwise.
1. Scope of Service
XingKun provides custom printing, packaging, and related manufacturing services. Our website materials indicate that we serve a wide range of packaging and printing products, including display stands, paper boxes, plastic boxes, notebooks, playing cards, flash cards, stickers, labels, and brochures. Product pages, quotations, emails, and approved samples together form the commercial basis of each order.
2. Quotations and Price Validity
- Quotations are valid only for the period stated in the quotation, typically 15 to 30 days unless otherwise specified.
- Prices may change if raw material costs, labor costs, freight conditions, exchange rates, or production requirements change materially.
- If the market price of key materials changes significantly, including increases exceeding 10%, XingKun may request a price review before production begins.
3. Order Confirmation
- An order is confirmed only after the customer approves the quotation, artwork, sample, or proof and provides the required deposit or payment.
- Customers are responsible for checking all spelling, dimensions, layout, artwork, and technical details before approval.
- XingKun is not responsible for errors that appear in approved artwork or customer-approved proofs.
4. Tooling, Plates, and Mold Ownership
- Where a customer pays in full for tooling, die-cut molds, plates, or similar production tools, ownership of those paid tools belongs to the customer unless otherwise agreed in writing.
- XingKun may store and maintain such tools for convenience, usually for a period of up to 2 years without a new order, after which storage, maintenance, or retention terms may be renegotiated.
- Without the customer’s written permission, XingKun will not use customer-owned tooling or plates for any third party.
5. Quantity Tolerance
- For printing and packaging production, overrun or underrun may occur within a reasonable commercial tolerance.
- Unless otherwise agreed in writing, final settlement will be based on the actual delivered quantity.
- Typical quantity tolerance may range from ±3% to ±5% depending on the product structure, material, and production method.
6. Delivery Terms and Incoterms
- Unless otherwise specified, delivery terms should be interpreted according to Incoterms 2020 when international trade terms such as FOB, CIF, or DDP are used.
- Delivery dates are estimates and may be affected by material availability, production complexity, customs clearance, shipping schedules, port congestion, inspection, or force majeure events.
- Delays caused by customs checks, port strikes, weather events, or similar events are not considered breach of contract when beyond reasonable control.
7. Risk Transfer
- Risk of loss or damage transfers according to the agreed trade term and shipping arrangement.
- Once goods are handed over to the designated carrier or otherwise delivered under the agreed Incoterm, XingKun is not responsible for loss caused by third-party transport conditions, except where required by law or agreed in writing.
8. Force Majeure
XingKun is not liable for delays or failure to perform caused by events beyond reasonable control, including natural disasters, fires, epidemics, governmental actions, war, labor disputes, raw material shortages, transportation interruptions, or customs restrictions.
9. Intellectual Property
- Customers warrant that any files, logos, designs, trademarks, or content they provide do not infringe third-party rights.
- Customers are responsible for obtaining all necessary permissions, licenses, and approvals for submitted content.
- XingKun may refuse production if a job appears to create legal or reputational risk.
10. Governing Behavior
Customers must not use XingKun’s services for illegal, deceptive, or infringing purposes. XingKun may suspend or terminate service if a customer provides unlawful content, refuses payment, abuses the service process, or engages in fraudulent behavior.
11. Governing Law and Dispute Resolution
The governing law, venue, and dispute resolution method may be specified in the quotation, purchase order, or separate written agreement. If not specified, the parties should attempt to resolve disputes through good-faith negotiation first.
